Crown Capital Partners Announces Upsizing of Crown Capital Fund IV, LP

CALGARY, July 15, 2016 – Crown Capital Partners Inc. (“Crown” or “the Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced it has completed a $25 million closing for Crown Capital Fund IV, LP. (“Crown IV LP” or the “Fund”), bringing the current total capital committed to the Fund to $125 million. To date, $50 million has been invested in three transactions.

Crown IV LP invests in Special Situations Financing transactions originated and managed by Crown. These consist of senior and subordinated loans with terms ranging from six months to five years, and are structured to limit ownership dilution and provide the borrower client with the ability to focus on growing their business. Crown IV LP has a maximum size of $300 million, with additional closings expected up until September 2018 as financing opportunities are identified.  Crown has committed to invest up to $50 million in Crown IV LP and currently holds a 40% interest in the Fund.

Crown Capital Reports Voting Results from Annual Meeting of Shareholders

CALGARY, June 3, 2016 – In accordance with Toronto Stock Exchange requirements, Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, announced the voting results from its Annual General Meeting of Shareholders held on May 11, 2016 in Toronto, Ontario.

A total of 7,046,411 common shares, representing 74.22% of the Corporation’s issued and outstanding common shares, were voted in connection with the meeting. Shareholders voted in favour of all items of business put forth. The votes for the election of directors are as follows:

Crown Capital Completes $15 Million Term Loan with Bill Gosling Outsourcing

CALGARY, May 25, 2016 – Crown Capital Partners Inc. (“Crown”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced the closing of a $15 million, five-year term loan agreement (the “Agreement”) with Bill Gosling Outsourcing Holding Corp. (“BGO”), formerly Allied Global Holdings Inc., a global provider of call center solutions to blue-chip clients.

Headquartered in Newmarket, Ontario, BGO offers a full suite of customer contact solution services, including accounts receivable management, customer care, and customer sales & acquisition, and operates nine call centers in Canada, the U.S., the U.K. and Philippines. Founded in 1955, BGO’s key customers include Fortune 100 and Fortune 1000 companies in the financial, communications, utility and government sectors. BGO maintains strong relationships with its customers, with average tenure of more than 10 years for its top 10 customers.

The Agreement provides for a $15 million term loan to BGO by Crown Capital Fund IV, LP, an investment fund managed by Crown and in which Crown holds a 50% interest. The term loan bears a fixed interest rate of 12% per annum, compounded and payable monthly, and matures in 60 months.

Crown Capital Partners Announces Q1 2016 Financial Results

CALGARY, May 11, 2016 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced its financial results for the three months ended March 31, 2016 (“Q1 2016”). Crown’s complete financial statements and management’s discussion and analysis for Q1 2016 are available on SEDAR at www.sedar.com.

Q1 2016 Financial & Operating Highlights

  • Revenue of $5.1 million, including fees and other income of $0.6 million, interest revenue of $2.4 million, net realized gain on sale of investments of $1.7 million, and net change in unrealized gains in fair value of investments of $0.4 million.
  • Adjusted EBIT1 of $2.7 million.
  • Total comprehensive income, net of non-controlling interest, of $1.6 million, or $0.17 per common share (basic).
  • Total equity per common share (basic) of $10.56 at March 31, 2016.
  • Total assets of $131.8 million at March 31, 2016, up from 130.1 million at December 31, 2015.
  • Cash and cash equivalents increased to $46.9 million, compared with $43.6 million at
    December 31, 2015.
  • Established a dividend policy and, on January 29, 2016, paid a first quarterly dividend of $0.11 per common share.
  • Sold all the common shares of Claude Resources Inc. held by the Norrep Credit Opportunities Fund II, LP (“NCOF II”) and Norrep Credit Opportunities Fund II (Parallel), LP for a realized gain to the Corporation of $1.7 million.
  • Subsequent to quarter end, on April 22, 2016, Crown declared a quarterly dividend of $0.11 per common share.

With 34 transactions completed over our history, we are one of the most experienced and active participants in the mid-market, positioning us well to benefit from these market conditions.”

Q1 2016 Financial Results Summary
Crown’s financial position at March 31, 2016 and its financial results for the quarter ended March 31, 2016 are not comparable to the same period in the prior year due mostly to the initial public offering of Crown’s common shares and the acquisition of a 69.75% interest in NCOF II, both in July 2015, and the establishment of Crown Capital Fund IV LP in September 2015 and Crown Capital Private Credit LP in December 2015.

Crown Capital Declares Quarterly Dividend

CALGARY, April 22, 2016 – Crown Capital Partners Inc. (“Crown” or “the Company”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced that its Board of Directors has declared a dividend of $0.11 per common share, payable on May 20, 2016 to all shareholders of record as of the close of business on May 6, 2016.

This dividend is designated by the Company to be an “eligible dividend” pursuant to subsection 89(14) of the Income Tax Act (Canada) and any applicable provincial or territorial legislation pertaining to eligible dividends. Shareholders with questions regarding the tax treatment of dividends should consult with their own tax advisors.

Crown Capital Partners Announces Normal Course Issuer Bid

CALGARY, April 6, 2016 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced that the Toronto Stock Exchange (the “TSX”) has approved its Notice of Intention to make a normal course issuer bid (“NCIB”). Crown will have the right under the NCIB to purchase up to 620,000 of its common shares (the “Shares”) representing approximately 10.0% of the public float of Shares and approximately 6.5% of the 9,494,002 issued and outstanding Shares.

Crown is commencing the NCIB because, in the opinion of the Corporation’s board of directors and senior management, the Shares may occasionally trade in a price range which does not adequately reflect the value of the underlying business and financial position.

“We continue to deliver on the plan articulated during our initial public offering, and the current market conditions for our debt solutions are among the most favorable we have witnessed in our 15-year history, resulting in a strong and growing transaction pipeline,” said Chris Johnson, President and CEO of Crown. “In our view, the current trading price, which represents approximately 0.8 times book value per share, undervalues the business given the quality of our assets and growth prospects. As a result, we will be using a portion of our free cash flow to buy back Shares while continuing to deliver on our growth plan, putting capital to work to generate growing earnings and cash flow for shareholders.”

Purchases made pursuant to the NCIB will be made in the open market through the facilities of the TSX and alternative trading systems, if eligible. The NCIB will commence on April 8, 2016 and remain in effect until the earlier of April 7, 2017, the termination of the NCIB by Crown and Crown purchasing the maximum number of Shares permitted under the NCIB. Shares purchased by the Corporation pursuant to the NCIB will be cancelled. The number of Shares that can be purchased pursuant to the NCIB is subject to a daily maximum of 3,639 Shares which is 25% of 14,556 (being the average daily trading volume for the Shares on the TSX for the six months ended March 31, 2016).

Crown Capital Partners Announces Sale of Shares in Claude Resources

CALGARY, March 24, 2016 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced the disposition of all of the common shares (the “Claude Shares”) of Claude Resources Inc. (“Claude”) (TSX: CRJ) held by funds managed by Crown for total net proceeds of $5.3 million.  The Claude Shares were held in Norrep Credit Opportunities Fund II, LP and Norrep Credit Opportunities Fund II (Parallel), LP (collectively the “NCOF Funds”).  Crown owns 69.75% of Norrep Credit Opportunities Fund II, LP and is manager of the NCOF Funds. The disposition of the Claude Shares is expected to result in a gain to Crown in the first quarter of 2016 of approximately $0.9 million, before income taxes and net of non-controlling interests, which will be recognized in the Corporation’s Q1 2016 financial results. The NCOF Funds’ realized Gross IRR on the Claude investment was approximately 19%.

Crown completed a subordinated term loan with Claude in April 2013.  The NCOF Funds received the Claude Shares in 2014 for no cost in consideration for a forbearance agreement. On September 21, 2015, Claude prepaid the balance of this facility in full, including principal, interest and fees.
