Crown Capital Announces Quarterly Dividend of $0.15 Per Share

CALGARY, November 6, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced that its Board of Directors has declared a dividend of $0.15 per common share, payable on November 29, 2019 to all shareholders of record as of the close of business on November 15, 2019.

This dividend is designated by the Company to be an “eligible dividend” pursuant to subsection 89(14) of the Income Tax Act (Canada) and any applicable provincial or territorial legislation pertaining to eligible dividends. Crown Capital Partners Announces Follow-on Investments in Crown Partners Fund

CALGARY, November 1, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced that Crown Capital Partner Funding, LP (“Crown Partners Fund”), an investment fund managed by Crown, and in which Crown holds a 37% interest, has advanced an additional $12 million to two portfolio companies:

  • A $5 million increase in its loan facility to Touchstone Exploration Inc. (“Touchstone”), from $15 million to $20 million. In November 2016, Crown Partners Fund completed a $15 million, five-year term loan with Touchstone.
  • A $7 million increase in its loan facility to Triple Five Intercontinental Group Ltd. (“Triple Five”), bringing the total outstanding to $27 million. In September 2018, Crown Partners Fund completed a $15 million, three-year term loan with Triple Five, which was subsequently increased to $20 million in March 2019.

“Touchstone and Triple Five are both performing well, and this additional capital will further support their growth plans,” said Chris Johnson, President & CEO of Crown.

These investments bring the total loans outstanding in Crown Partners Fund to approximately $197 million across 10 companies.

Crown Capital Partners Announces Follow-on Investments in Two Portfolio Companies

CALGARY, August 19, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced that Crown Capital Partner Funding, LP (“Crown Partners Fund”), an investment fund managed by Crown, and in which Crown holds a 37% interest, has advanced an additional $17 million to two portfolio companies:

  • A $10 million, six-month bridge facility to Rokstad Holdings Corporation (Rokstad”), bringing the total outstanding to $35 million. In April 2019, Crown Partners Fund completed a $25 million, five-year term loan with Rokstad.
  • A $7 million increase in the loan facility to DATA Communications Management Corp. (“DCM”), bringing the total outstanding to $19 million. In May 2018, Crown Partners Fund completed a $12 million, five-year term loan with DCM.

“We are pleased to increase the investment in two high-quality companies in our special situations portfolio,” said Chris Johnson, President & CEO of Crown. “We were able to respond in a timely fashion to meet each company’s evolving capital requirements.”

These investments bring the total loans outstanding in the Crown Partners Fund portfolio to approximately $187 million across 11 companies.

Crown Capital Partners Announces Q2 2019 Financial Results

CALGARY, August 8, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced its financial results for the second quarter of 2019. Crown’s complete financial statements and management’s discussion and analysis for the three and six months ended June 30, 2019 are available on SEDAR at www.sedar.com.

Q2 2019 Financial & Operating Highlights

  • Total revenue increased to $11.0 million, compared with $9.0 million in Q2 2018. The year-over-year change is due mainly to a $4.4 million net change in unrealized gains in fair value of investments that includes an expected recovery of $4.0 million on the investment in Solo Liquor Holdings Limited (“Solo”).
  • Interest revenue was $5.7 million, compared with $6.3 million in Q2 2018, due primarily to a lower average level of interest-yielding investments held by Crown Capital Partner Funding, LP (“Crown Partners Fund”).
  • Fees and other income were $0.8 million (Q2 2018 – $1.6 million).
  • Net income, net of non-controlling interests, improved to $2.3 million (Q2 2018 – $2.0 million), or $0.23 per common share (basic) (Q1 2018 – $0.21 per share).
  • Adjusted Funds from Operations1 of $1.9 million, compared with $3.6 million in Q2 2018.
  • Total assets of $265.7 million at quarter-end, compared with $275.9 million at December 31, 2018.
  • On May 31, 2019 paid a quarterly dividend of $0.15 per common share.
  • Crown Partners Fund completed a $25 million, 60-month term loan with Rokstad Holdings Corporation of which $15.5 million had been advanced as at June 30, 2019 and the remainder has been subsequently advanced.
  • Subsequent to quarter end, Crown acquired WireIE Holdings International Inc., providing a new avenue for revenue growth and diversification for Crown. Crown had previously provided an income streaming facility to WireIE in July 2018 to support the company’s expansion.
  • Subsequent to quarter end, Crown Partners Fund received early repayment by Canadian Helicopters Limited of an $8 million special situations loan in addition to interest, fees and other payments.

“Over the second quarter, we were pleased to have made meaningful progress on several fronts, including recovering a portion of the Solo investment and making significant progress toward recovering funds that were provided for in the first quarter in connection with the power fund,” said Chris Johnson, President and CEO of Crown. “In addition, we put new capital to work and built our deal pipelines in each of the special situations and power fund portfolios.”

Mr. Johnson added: “Our outlook for the remainder of fiscal 2019 remains positive, and we are focused on originating new special situations transactions and onboarding new partners and approving new projects in the power fund. Over more than 18 years, Crown has established core capabilities in sourcing and structuring transactions that create strong risk-adjusted recurring cash flows. We are now applying these to the power infrastructure market and, with the acquisition of WireIE, have a platform to target a long-term opportunity for financing and supplying carrier-grade data networks to underserved communities.”

Crown Capital Partners Acts as Agent for Concentra Bank in Senior Loan Facility

CALGARY, July 29, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced it has entered an agreement with Concentra Bank (“Concentra”) under which Crown will provide investment management services for Concentra’s $20 million investment in a syndicated senior secured credit facility for a holding company controlled by Don Wall. As previously disclosed, Crown announced the repayment of its loan to Canadian Helicopters, of which Don Wall is the sole-owner and President and CEO.

“We are pleased to support Concentra on this investment, which leverages our knowledge of a pre-existing relationship and our team’s deep experience in managing middle market credit,” said Chris Johnson, President & CEO of Crown. “Based on our well-established presence in the Canadian market, we generate strong deal flow and, over time, this presents an opportunity to act in a similar role for senior debt transactions that do not fit the investment parameters of Crown Partners Fund.”

Crown Capital Partners Announces Repayment of Loan by Canadian Helicopters

CALGARY, July 29, 2019 – Crown Capital Partners Inc. (“Crown”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced the full repayment by Canadian Helicopters Limited (“Canadian Helicopters”) of an $8 million term loan from Crown Capital Partner Funding, LP (“Crown Partners Fund”). Canadian Helicopters is the largest helicopter transportation services company in Canada with a network of 28 strategically located fixed bases to support operations throughout the country.

“Canadian Helicopters has been a solid performer and we wish Don and his team continued success,” said Chris Johnson, President and CEO of Crown. “This was another successful investment for Crown Partners Fund.”

Don Wall, President & CEO of Canadian Helicopters, said: “Crown has been a strong financial partner and we appreciated their support and responsiveness.”

Canadian Helicopters has prepaid this loan in full, including principal, interest, fees and other payments. The Canadian Helicopters loan was held by Crown Partners Fund, an investment fund managed by Crown and in which Crown holds an effective interest of 37%. The realized Gross IRR on Crown Partners Fund’s aggregate investment in Canadian Helicopters was 23.8%.

Crown Capital Partners Acts as Agent for Concentra Bank in Senior Loan Facility

CALGARY, July 29, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced it has entered an agreement with Concentra Bank (“Concentra”) under which Crown will provide investment management services for Concentra’s $20 million investment in a syndicated senior secured credit facility for a holding company controlled by Don Wall. As previously disclosed, Crown announced the repayment of its loan to Canadian Helicopters, of which Don Wall is the sole-owner and President and CEO.

“We are pleased to support Concentra on this investment, which leverages our knowledge of a pre-existing relationship and our team’s deep experience in managing middle market credit,” said Chris Johnson, President & CEO of Crown. “Based on our well-established presence in the Canadian market, we generate strong deal flow and, over time, this presents an opportunity to act in a similar role for senior debt transactions that do not fit the investment parameters of Crown Partners Fund.”
