Crown Capital Partners Announces Acquisition of WireIE

Creates new platform for revenue growth and diversification for Crown

Provides WireIE with strengthened financial foundation to expand services and customer base

CALGARY, July 15, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced it has completed a transaction (the “Transaction”) to acquire WireIE Holdings International Inc. (“WireIE”), an Ontario-based network operator that specializes in the deployment and management of carrier-grade data networks across Canada and internationally to underserved communities.

Pursuant to the Transaction, Crown has acquired all the debt and equity of WireIE for a nominal amount on closing and a performance-based earn-out payment of up to $5 million. Crown had previously provided an income streaming facility to WireIE in July 2018 to support the company’s expansion. Crown has invested $7.6 million to date and will provide additional capital as required to fund future growth.

“WireIE generates high-quality, recurring cash flows through the development of carrier-grade data networks,” said Chris Johnson, President & CEO of Crown. “We’re delighted to expand our relationship with WireIE and welcome it to the Crown platform. The WireIE executive team will remain in place to direct the continued growth of the company, led by its founder, President & CEO, Rob Barlow.

Crown Capital Provides Update on Solo Liquor Holdings Limited

CALGARY, May 28, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses,  previously disclosed that Solo Liquor Holdings Limited and Solo Liquor Stores Ltd. (collectively “Solo”) was placed in receivership on May 1, 2019 by ATB Financial, which provided credit facilities to Solo. Crown Capital Partner Funding, LP (“Crown Partners Fund”) has a $15 million loan outstanding to Solo. Crown is the manager of the fund and has an effective interest of approximately 37% in Crown Partners Fund.  In its financial results for the three months ended March 31, 2019, Crown recorded a provision for the full amount of its loan to Solo.

Crown has been working closely with ATB and the Court-appointed receiver, FTI Consulting Canada Inc., in the receivership process. As part of its efforts to recover funds, Crown Partners Fund recently advanced $13.6 million to acquire a portion of the outstanding senior debt of Solo from ATB. Crown management currently expects that the realization on the security underlying the loans will result in the recovery of the recent advance as well as an estimated $3.5 million to $4.5 million on the original investment by Crown Partners Fund.

Crown Capital Partners Announces Q1 2019 Financial Results

CALGARY, May 7, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced its financial results for the first quarter ended March 31, 2019. Crown’s complete financial statements and management’s discussion and analysis for the three-month period ended March 31, 2019 are available on SEDAR at www.sedar.com.

Q1 2019 Financial & Operating Highlights

  • Interest revenue increased by 43% over the comparable period to $8.0 million due primarily to expansion of the investment portfolio.
  • Fees and other income increased to $1.6 million (Q1 2018 – $0.2 million) including fees earned in relation to the early repayment of two special situations loans.
  • Total revenue declined to $(4.0) million compared with $5.3 million in Q1 2018 due to the inclusion in Q1 2019 revenue of a $(13.5) million net loss on investments, which is comprised primarily of a $(15.6) million unrealized loss recognized on the investment in Solo Liquor Holdings Limited (“Solo Liquor”).
  • Net income (loss), net of non-controlling interests, of $(4.0) million (Q1 2018 – $0.9 million), or $(0.41) per common share (basic) (Q1 2018 – $0.09).
  • A provision for bad debts of $3.0 million was recognized in relation to an amount owing from an operating partner affiliated with Crown Capital Power Limited Partnership.
  • Adjusted Funds from Operations1 of $0.6 million, compared with $2.2 million in Q1 2018.
  • Total assets of $263.6 million at quarter-end, compared with $275.9 million at December 31, 2018.
  • On March 1, 2019 paid a quarterly dividend of $0.15 per common share.
  • Completed an upsizing of $43 million for Crown Capital Power Limited Partnership (“Crown Power Fund”), increasing the total capital to approximately $58 million.
  • Crown Capital Partner Funding, LP (“Crown Partners Fund”) announced an agreement to provide an additional $5 million to portfolio company Triple Five Intercontinental Group, increasing the size of this loan to $20 million.
  • Crown Partners Fund received early repayment of two special situations loans totaling $45 million: Baylin Technologies ($30 million) and Bill Gosling Outsourcing ($15 million).
  • Finalized a new $25 million senior secured revolving credit facility for Crown Partners Fund and extended the maturity of Crown’s existing $35 million senior secured revolving corporate credit facility, to May 31, 2021.
  • Subsequent to quarter end, Crown Partners Fund announced a $25 million, 60-month term loan commitment to Rokstad Holdings Corporation of which $15 million has been advanced to-date.

“Our first quarter results showed strong growth in interest revenue and fee income; however, these revenue gains were offset by an impairment on our investment in Solo Liquor,” said Chris Johnson, President and CEO of Crown. “The situation with Solo Liquor is disappointing, as it has been over five years since our last impairment on an investment. We are working diligently to recover funds in relation to this investment, but at this time the extent of potential recovery remains uncertain. We’ve accumulated investment gains in Crown Partners Fund and, following this impairment, these will remain at reasonable levels. Additionally, we continue to hold positions in multiple outstanding companies that are expected to create additional investment gains as they are realized.”

Mr. Johnson added: “We continued to advance the Crown Power Fund in the quarter, highlighted by the upsizing of the fund and adding projects and operating partners. While we are in the early stages of building this investment vehicle, it’s more and more apparent there is a significant need in Ontario, and we are seeing the same dynamics in other regions of Canada and the United States. We plan to expand our base of operating partners in these regions, further increasing the addressable market for the fund. As we work with a number of newly established operating partners, there is a higher risk of unanticipated outcomes, and to this end we have recorded a provision of $3 million for potentially unrecoverable funds advanced to an operating partner in relation to projects, which we are working to recover.”

Crown Capital Announces Quarterly Dividend of $0.15 Per Share

CALGARY, May 6, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced that its Board of Directors has declared a dividend of $0.15 per common share, payable on May 31, 2019 to all shareholders of record as of the close of business on May 17, 2019.

This dividend is designated by the Company to be an “eligible dividend” pursuant to subsection 89(14) of the Income Tax Act (Canada) and any applicable provincial or territorial legislation pertaining to eligible dividends. Crown Capital Comments on Solo Liquor Holdings Limited

CALGARY, May 1, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, advises that ATB Financial (“ATB”), which provides credit facilities to Solo Liquor Holdings Limited and Solo Liquor Stores Ltd. ( collectively “Solo”), has demanded immediate repayment of all amounts owing under its credit facilities and recently filed an application with the Court of Queen’s Bench of Alberta to appoint a receiver of Solo. The Court has approved the appointment of FTI Consulting Canada Inc. as receiver.

Crown Capital Partner Funding, LP (“Crown Partners Fund”) has a $15 million loan outstanding to Solo. Crown is the manager of the fund and has an effective interest of approximately 37% in Crown Partners Fund.  Crown is working diligently to recover funds from Solo and will provide further updates when we have sufficient information to estimate the value that is likely to be recovered.

Crown Capital Partners Completes $25 Million Term Loan with Rokstad Holdings Corporation

CALGARY, April 29, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced the closing of a $25 million term loan (the “Agreement”) to Rokstad Holdings Corporation (“Rokstad”), a privately held company headquartered in Coquitlam, British Columbia, that provides power line construction and maintenance services to customers across North America.

Founded in 2008, Rokstad offers a full suite of power line services, including emergency and storm response, transmission and distribution line construction and maintenance and underground cable services. Rokstad is also a specialist in live line construction methods for distribution and transmission line projects. With operations throughout Canada and the United States, Rokstad has successfully grown from a mid-size contractor to one of the largest power line contractors in North America. The company’s largest markets are British Columbia, California and Arizona.

“Rokstad is a well-established business with a diversified base of large, long-standing utility customers,” said Chris Johnson, Crown’s President & CEO. “The company has experienced very strong growth over the past several years as spending has increased significantly in its sector, driven by the aging transmission and distribution infrastructure, new technology and regulatory drivers. The Agreement provides for a term loan of up to $25.0 million to Rokstad by Crown Capital Partner Funding, LP (“Crown Partners Fund”), an investment fund managed by Crown and in which Crown holds a 37% interest. The term loan matures in 60 months and includes a bonus feature based on the growth in Rokstad’s equity value.

Crown Capital Partners Announces Renewal of Normal Course Issuer Bid

CALGARY, April 8, 2019 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced that it has received approval from the Toronto Stock Exchange (the “TSX”) to renew its normal course issuer bid (“NCIB”) for a 12-month period commencing April 10, 2019.

The renewed NCIB will follow the current NCIB, which ends on April 9, 2019 and under which Crown purchased 99,683 shares at a volume-weighted average price per share of $10.07 up to April 5, 2019.

Under the terms of the renewed NCIB, Crown will have the right to purchase up to 300,000 of its common shares (the “Shares”) representing approximately 5.3% of the public float and approximately 3.1% of the 9,610,827 issued and outstanding Shares as at March 31, 2019. The number of Shares that can be purchased pursuant to the renewed NCIB is subject to a daily maximum of 1,391, which is 25% of 5,565 (being the average daily trading volume for the Shares on the TSX for the six months ended March 31, 2019). Shares purchased by the Corporation pursuant to the renewed NCIB will be cancelled. Purchases made pursuant to the renewed NCIB will be made in the open market through the facilities of the TSX and alternative trading systems, if eligible. The renewed NCIB will commence on April 10, 2019 and remain in effect until the earlier of April 9, 2020, the termination of the renewed NCIB by Crown, and Crown purchasing the maximum number of Shares permitted under the renewed NCIB.

In the opinion of the Corporation’s board of directors and senior management, the renewed NCIB provides Crown with the flexibility to utilize its capital to acquire Shares from time to time under the appropriate circumstances. At December 31, 2018, Crown’s total equity per basic common share was $10.91.

Crown Capital Partners Announces Repayment of Loan by Baylin Technologies

CALGARY, April 1, 2019 – Crown Capital Partners Inc. (“Crown”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced the full repayment by Baylin Technologies Inc. (“Baylin”) (TSX: BYL) of a loan managed by Crown.

Baylin is a diversified leading global wireless technology management company focused on research, design, development, manufacturing and sales of passive and active radio-frequency products and services. In January 2018, Crown Capital Partner Funding, LP (“Crown Partners Fund”) and two of its institutional limited partners provided a $33 million, 60-month loan to Baylin, the proceeds of which were used to acquire the radio frequency, terrestrial microwave and antenna equipment divisions of Advantech Wireless Inc. (“Advantech”).

“The Baylin team has done an outstanding job growing and diversifying its revenue base over the past year, both organically and through two acquisitions,” said Chris Johnson, President and CEO of Crown. “This performance positioned them to secure a new senior facility, and we wish the team continued success.”

Michael Wolfe, Baylin’s Chief Financial Officer, said: “The Crown Capital team had a clear understanding of Baylin’s strategy, completed their credit process in a short period of time and were supportive partners of our company.”

Baylin has prepaid this loan in full, including principal, interest and fees. The Baylin loan was held by Crown Partners Fund, an investment fund managed by Crown and in which Crown holds a 37% interest. Crown Partners Fund continues to own 620,456 Baylin common share purchase warrants.

Crown Capital Partners Announces Repayment of Loan by Bill Gosling Outsourcing

CALGARY, March 27, 2019 – Crown Capital Partners Inc. (“Crown”) (TSX: CRWN), a capital partner to entrepreneurs and growth businesses, today announced the full repayment by Bill Gosling Outsourcing (“BGO”) of a loan managed by Crown.

Founded in 1955 and headquartered in Newmarket, Ontario, BGO is a privately-owned global provider of outsourced call center solutions to blue chip and emerging high-growth clients. In May 2016, Crown Capital Partner Funding, LP (“Crown Partners Fund”) provided a $15 million, 60-month term loan to BGO.

“Our focus is to provide growth capital to successful small and mid-market businesses so they can achieve their ambitions, and BGO has done a solid job executing on its business plan,” said Chris Johnson, President and CEO of Crown. “We believe they are well positioned as more companies shift to business process outsourcing.”

“Crown Capital provided a customized financial solution that was right for our business goals, and they were very supportive financial partners over the past several years,” said BGO’s CEO Dave Rae.

BGO has prepaid this loan in full, including principal, interest, fees and other payments. The BGO loan was held by Crown Partners Fund, an investment fund managed by Crown and in which Crown holds a 37% interest. The realized Gross IRR on Crown Partners Fund’s aggregate investment in BGO was 17.6%.
