Crown Capital Partners Completes $75 Million Upsizing of Special Situations Fund and Extends Investment Period

CALGARY, July 16, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced that it has completed a $75 million upsizing of Crown Capital Partner Funding LP (“CCPF LP” or the “Fund”), which was previously named Crown Capital Fund IV, LP, bringing the current total committed capital to $300 million. Crown also announced that the investment period of the Fund was extended to the end of 2019, with provisions to further extend the investment period with the approval of limited partners, and also increased the maximum size of the Fund to $500 million, from $300 million previously.

“These are highly important capital development milestones for Crown that reflect our success in finding quality investments for the Fund and generating strong returns, as well as the positive outlook for new transactions,” said Chris Johnson, Crown’s President & CEO. “We are very pleased with the continued strong support of our institutional limited partners and are encouraged by the growing demand from new investors.”

The Fund invests in Special Situations Financing transactions originated and managed by Crown. These consist of senior and subordinated loans with terms ranging from six months to five years, and are structured to limit ownership dilution and provide the borrower client with the ability to focus on growing their business. Crown, through its wholly-owned subsidiary Crown Capital Funding Corporation, increased its capital commitment to the Fund by approximately $29.1 million to $111.3 million. After this closing, Crown holds an approximate 37.1% interest in the Fund. CCPF LP currently has approximately $206.8 million invested in 13 companies.

New fund will capitalize on demand for lower-cost, reliable electricity supply
Provides significant new market and growth opportunity for Crown  

CALGARY, June 28, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the launch of Crown Capital Power LP (“Crown Power” or “the Fund”), a new fund managed by Crown that intends to provide investors with attractive, utility-like income through the direct ownership of Integrated Energy Platforms (“IEPs”) that provide electricity under long-term contracts to mid to large-scale electricity users, such as manufacturers, hotels, and condominiums. IEPs are on-site generators that provide more reliable and less expensive electricity than comparable service from a public utility.

“Over the past 10 years, commercial electricity users, especially in Ontario, have experienced substantial price increases and prices are expected to continue rising,” said Chris Johnson, President and CEO of Crown. “Because electricity is vital to businesses, and the rate increases have become so significant, there is growing demand for ‘private utility’ solutions. From an investment perspective, we see a tremendous opportunity to build a portfolio of long-term contracts with profitable, well-established businesses that will deliver investors attractive utility-like monthly recurring cash flows.”

The Fund’s primary initial target market will be Ontario, where electricity prices have nearly doubled over the past 10 years, far outpacing electricity price growth in North America. Over time, the Fund expects to target numerous other regions in North America that are experiencing similarly high electricity prices.

Crown Power will partner with experienced operators to manage the sales, installation and servicing of the IEPs. The Fund’s first operating partner is OOM Energy Group (“OOM”), a private electricity generation company that offers clients an alternative to the public utility grid. OOM provides its clients with reliable, uninterrupted power, essentially replacing the utility and removing the burden of managing energy supply, while providing significant savings. OOM and its principals have built, operated and maintained over 40 IEPs for industrial, commercial and institutional operations, ranging in size from 50 kWs to 40 MWs.

Mr. Johnson added: “As early entrants to this private utility market, the team at OOM has established a solid reputation and significant expertise in the deployment of IEPs, validating their ability to meet commercial customers’ energy needs with no downtime, while delivering material savings. Crown is initially committing $15.0 million of capital to Crown Power, which will be used to finance the near-term deployment of eight IEPs. Crown expects to utilize its hybrid business model to raise additional capital for Crown Power as needed.

Crown Capital Announces Repayment of Petrowest Loan

CALGARY, June 20, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the full repayment by Petrowest Corporation (“Petrowest”) of a special situations loan made by Crown Capital Fund IV, LP (“CCF IV”), an investment fund managed by Crown and in which Crown holds a 36.5% interest.

CCF IV advanced $15 million to Petrowest in September 2015. As part of a financial restructuring, CCF IV and a syndicate partner advanced an additional $12 million to Petrowest in May 2017.  Petrowest was placed into receivership by its creditors in August 2017 and all of Petrowest’s assets were offered for sale.

In November 2017, as consideration for the acquisition of the assets of the Civil division from Petrowest, approximately $19.6 million of the loan was assumed by RBee Aggregate Consulting Ltd. (“RBee”). RBee, which has one of the largest mobile crushing fleets in Western Canada, is now 50% owned by the management of RBee and 50% owned by CCF IV and its syndicate partner.

As at March 31, 2018, the total amount owing by Petrowest to CCF IV and its syndicate partner included $7.4 million of loan principal as well as accrued interest and fees. Subsequent to quarter end, approximately $0.8 million of loan principal was reallocated from the RBee loan to the Petrowest loan due to final adjustments to the purchase price of the RBee assets, resulting in an outstanding principal amount owing by Petrowest to CCF IV and its syndicate partner of $8.2 million.

Since March 31, 2018, CCF IV and its syndicate partner have received aggregate payments in respect of the Petrowest loan of $9.7 million representing full repayment of the principal amount owing, as well as all accrued interest and supplemental fees.

The realized Gross IRR on CCF IV’s aggregate investment in Petrowest was 18.2%.

Calgary, Alberta – (June 13, 2018) — Crown Capital Partners Inc. (“Crown” or the “Company”) (TSX: CRWN) announced today that it has closed its previously announced “bought deal” public offering of $20 million aggregate principal amount of 6.00% convertible unsecured subordinated debentures (the “Debentures”) due June 30, 2023 (the “Offering”). The Debentures will trade on the Toronto Stock Exchange under the symbol “CRWN.DB”.

The Offering was co-led by BMO Capital Markets and National Bank Financial Inc. and included AltaCorp Capital Inc., CIBC World Markets Inc., Cormark Securities Inc., GMP Securities L.P., Raymond James Ltd. and TD Securities Inc.

The net proceeds of the Offering will be used to repay indebtedness under the Company’s credit facility, which will then be available to be drawn, as required, to fund new financing transactions by the Company.

Crown Capital Partners Inc. Announces $20 Million Convertible Debenture Bought Deal

CALGARY, May 24, 2018 – Crown Capital Partners Inc. (“Crown” or the “Company”) (TSX: CRWN), announced today a public offering, on a “bought deal” basis, of $20 million principal amount of convertible unsecured subordinated debentures, at a price of $1,000 per debenture, with an interest rate of 6.00% per annum, payable semi-annually on the last day of June 30 and December 31 commencing on December 31, 2018 (the “Debentures”). The December 31, 2018 interest payment will represent accrued interest for the period from Closing to December 31, 2018. The Debentures will mature on June 30, 2023.

The offering is being made through a syndicate of underwriters co-led by BMO Capital Markets and National Bank Financial Inc.

The Company has also granted the underwriters the option to purchase up to $3.00 million principal amount of additional Debentures at a price of $1,000 per Debenture to cover over-allotments, exercisable in whole or in part anytime up to 30 days following closing of the offering.

The Debentures will be convertible at the holder’s option into common shares of the Company at a conversion price of $13.70 per common share. The Debentures will not be redeemable prior to June 30, 2021. On and after June 30, 2021 and prior to June 30, 2022, the Debentures may be redeemed in whole or in part from time to time at the Company’s option, at a price equal to their principal amount plus accrued and unpaid interest, provided that the volume weighted average trading price of the common shares on the Toronto Stock Exchange for the 20 consecutive trading days preceding the date on which the notice of redemption is given is not less than 125% of the conversion price. On and from June 30, 2022, and prior to the maturity date, the Debentures may be redeemed by the Company, in whole at any time or in part from time to time, at a price equal to the principal amount thereof plus accrued and unpaid interest.

The net proceeds of the offering will be used to repay indebtedness under the Company’s credit facility, which will then be available to be drawn, as required, to fund new financing transactions by the Company, and for general corporate purposes.

The offering is subject to normal regulatory approvals, including approval of the Toronto Stock Exchange, and is expected to close on or about June 13, 2018.

The Debentures will be offered by way of a short form prospectus in all of the provinces and territories of Canada and may also be offered by way of private placement in the United States. Crown Capital Partners Completes $10 Million Long-Term Loan with WireIE

CALGARY, May 23, 2018 – Crown Capital Partners Inc. (“Crown”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the closing of a $10 million long-term loan (the “Agreement”) to WireIE (Canada) Inc. (“WireIE”), an Ontario-based Canadian network operator that specializes in the deployment and management of carrier-grade data networks across Canada and internationally to under-served communities in rural and remote areas. WireIE builds, owns, and operates the data networks for its blue-chip customers in the telecom carrier, oil and gas, utility, and government industries.

Founded in 2007, WireIE’s core value proposition is to provide large telecom carriers with the ability to deliver high quality network services to their commercial customers in rural or remote areas without having to build and manage circuits. WireIE has partnerships with Canada’s leading national carriers. The company’s services address a large and growing market, with recent US and Canadian government legislation mandating high-speed broadband as an essential service. The new minimum service standards recently defined by the Canadian Radio-television and Telecommunications authority result in greater than 20% of the population falling below the minimum requirements.

CALGARY, May 17, 2018 – Crown Capital Partners Inc. (“Crown”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the closing of a $10 million, 10-year loan (the “Agreement”) with Mill Street & Co. Inc. (“Mill Street”), a Canadian diversified operating company, with small- to medium-size, privately held subsidiaries, primarily based in Southern Ontario.

Mill Street provides successful entrepreneurs with a succession plan and liquidity by acquiring up to 100% of the entrepreneur’s business with the objective of creating value-added growth through a unique performance-based culture. Mill Street has ownership positions in nine operating companies in diversified sectors, including construction services, building supply, wholesale & logistics and financial services.

The Agreement provides for a $10 million, 10-year term loan to Mill Street, which will be funded as a long-term loan on Crown’s balance sheet. The term loan has a floating interest rate based on the five-year Government of Canada Bond yield plus 10% (subject to a minimum of 12%) and includes an equity participation right based on the growth in Mill Street’s equity value per share.

Crown Capital Partners Completes $25 Million Term Loan with Persta Resources Inc.

CALGARY, May 16, 2018 – Crown Capital Partners Inc. (“Crown”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the closing of a $25.0 million term loan (the “Agreement”) to Persta Resources Inc. (“Persta”), a Calgary-based company engaged in natural gas and crude oil exploration and production, with a focus on natural gas.

Founded in 2005, Persta is focused on long-term growth through exploration, development, production and acquisitions in the Western Canadian Sedimentary Basin. Persta was one of the first oil and gas companies to target the Spirit River/Wilrich zones in the Alberta foothills. Persta holds approximately 120,000 net acres of land and currently has production of approximately 3,100 barrels of oil equivalent production per day (“boepd”), of which approximately 94% is natural gas and 6% is oil and natural gas liquids. Persta completed an Initial Public Offering on the Hong Kong Stock Exchange in March 2017 and its common shares are listed under stock code 3395. Crown’s financing will be used for capital expenditures and to reduce the company’s senior debt facility.

“Persta has first-class assets in an attractive region and a highly accomplished management team that has been operating the company efficiently for the past 10 years,” said Chris Johnson, Crown’s President & CEO. “Despite a challenging environment, Persta has been able to generate significant cash flow based on its low production costs. The company has a low-risk, repeatable development program and is projecting significant increases in production as it continues to develop its Basing property and bring its Voyager property into production.”

The Agreement provides for a $25 million term loan to Persta by Crown Capital Fund IV, LP, an investment fund managed by Crown and in which Crown holds a 36.5% interest. The term loan bears a fixed interest rate of 12% per annum, matures in 60 months, and includes the issue to Crown of warrants to acquire 8,000,000 common shares of Persta.

Crown Capital Reports Voting Results from Annual Meeting of Shareholders

CALGARY, May 9, 2018 – In accordance with Toronto Stock Exchange requirements, Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, announced the voting results from its Annual and Special Meeting of Shareholders held on May 8, 2018 in Toronto, Ontario.

A total of 5,925,740 common shares, representing approximately 62.5% of the Corporation’s issued and outstanding common shares, were voted in connection with the meeting. Shareholders voted in favour of all items of business put forth. The votes for the election of directors are as follows:
