Crown Capital Partners Announces Amended Debt Agreement and New Bridge Loan Financing with Petrowest Corporation

CALGARY, May 23, 2017 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced that Crown Capital Fund IV, LP (“Crown IV LP”), an investment fund managed by Crown in which Crown holds a 35% interest, has amended its $15.0 million term loan agreement with Petrowest Corporation (“Petrowest”) (TSX: PRW) and completed a new $12.0 million bridge loan with the company.

The amended $15.0 million term loan bears a fixed interest rate of 12% per annum, compounded and payable monthly, and matures in 36 months. In addition, Crown IV LP will provide a $12.0 million bridge loan, which gives Petrowest additional financial flexibility while it pursues its previously announced non-core asset disposition program. The bridge loan bears interest at 12% per annum and matures on November 30, 2017. On closing of the bridge loan, Crown syndicated $2.0 million of the loan to one of the limited partners in Crown IV LP.

As part of the amended term loan, the 4.3 million warrants previously issued to Crown IV LP were cancelled, and 4.3 million common shares of Petrowest were issued to Crown IV LP at nominal cost. The bridge loan agreement also included the issuance of 3 million common shares of Petrowest. In total, Crown IV LP now owns 7.7 million common shares of Petrowest.

Crown Capital Partners Announces Financial Results for Q1 2017

Crown also announces appointment of Michael Overvelde as Chief Financial Officer

CALGARY, May 9, 2017 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced its financial results for the first quarter ended March 31, 2017. Crown’s complete financial statements and management’s discussion and analysis for the three-month period ended March 31, 2017 are available on SEDAR at www.sedar.com.

Q1 2017 Financial & Operating Highlights

  • Revenue increased to $6.8 million (2016 – $5.1 million), including interest revenue of $4.4 million, fees and other income of $0.5 million, and net change in unrealized gains in fair value of investments of $1.8 million;
  • Net income, net of non-controlling interests, of $1.7 million (2016 – $1.6 million), or $0.18 per common share (basic) (2016 – $0.17);
  • Adjusted EBIT1 of $3.0 million (2016 – $2.7 million);
  • Total equity per common share (basic) of $10.75 at March 31, 2017;
  • Total assets of $199.0 million at March 31, 2017, up from $182.4 million at December 31, 2016;
  • Cash and cash equivalents of $22.2 million, compared with $19.3 million at December 31, 2016,
  • On March 2, 2017, paid a quarterly dividend of $0.12 per common share to shareholders of record on February 14, 2017, a 9% increase over quarterly dividends paid previously;
  • Crown Capital Fund IV, LP (“CCF IV LP”) received subscriptions for an additional $50.0 million, bringing the total capital committed in CCF IV LP to $175.0 million;
  • CCF IV LP provided a $15.0 million, 36-month loan to Solo Liquor Holdings Limited; and
  • The NCOF Funds received full repayment of the $4.0 million loan to Corrosion Service Company Limited, realizing a Gross IRR of approximately 25%.

“Our first quarter results were highlighted by a strong increase in total revenue, driven by interest revenue which almost doubled over the first quarter of last year,” said Chris Johnson, President and CEO of Crown. “This underscores our success in building and diversifying the loan portfolio over the past several quarters, and gave us the ability to implement our first dividend increase in the quarter. The market conditions continue to be favorable for Crown. With the $50 million upsizing in CCF IV LP, cash on hand, and our credit facility, we are in a good position to capitalize on an active business development pipeline to deliver growing revenue, cash flow and return on equity in 2017.”

CFO Appointment

Crown also announced the appointment of Michael Overvelde, CPA, CA, CFA to the position of Senior Vice President, Finance and Chief Financial Officer effective May 10, 2017. Mr. Overvelde, who has more than 25 years of experience in capital markets and accounting, joined the Crown team in March, 2017. Lyle Bolen will remain with the Corporation in a consulting capacity to ensure a smooth transition of responsibilities.

Mr. Johnson said: “Lyle has been a tremendous colleague and contributor since the early days of Crown and was instrumental in our transition to a public company. On behalf of the entire Crown team and Board, we wish Lyle all the best in his retirement. Crown Capital Partners Announces Renewal of Normal Course Issuer Bid

CALGARY, April 4, 2017 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced that it has received approval from the Toronto Stock Exchange (the “TSX”) to implement a normal course issuer bid (“NCIB”) for a 12-month period commencing April 10, 2017.

This NCIB will follow the current NCIB, which ends on April 7, 2017 and under which Crown had purchased 23,578 shares up to March 31, 2017 at an average price per share of $9.174.

Under the terms of the NCIB, Crown will have the right to purchase up to 310,000 of its common shares (the “Shares”) representing approximately 4.2% of the public float of Shares and approximately 3.3% of the 9,523,590 issued and outstanding Shares. The number of Shares that can be purchased pursuant to the NCIB is subject to a daily maximum of 2,657 Shares which is 25% of 10,632 (being the average daily trading volume for the Shares on the TSX for the six months ended March 31, 2017). Shares purchased by the Corporation pursuant to the NCIB will be cancelled. Purchases made pursuant to the NCIB will be made in the open market through the facilities of the TSX and alternative trading systems, if eligible. The NCIB will commence on April 10, 2017 and remain in effect until the earlier of April 9, 2018, the termination of the NCIB by Crown, and Crown purchasing the maximum number of Shares permitted under the NCIB.

Crown is commencing this NCIB because, in the opinion of the Corporation’s board of directors and senior management, the Shares continue to trade in a price range that does not adequately reflect the value of the underlying business, Crown’s financial position and growth prospects. At December 31, 2016, Crown’s total equity per basic common share was $10.67.

 2016 Financial & Operating Highlights

  • Revenue of $18.4 million (2015 – $8.2 million), including interest revenue of $11.5 million, fees and other income of $3.8 million, net realized gain on sale of investments of $1.7 million and net change in unrealized gains in fair value of investments of $1.4 million;
  • Adjusted EBIT1 of $9.0 million (2015 – $4.0 million);
  • Net income, net of non-controlling interests, of $5.1 million (2015 – $2.0 million), or $0.54 per common share (basic) (2015 – $0.43);
  • Crown Capital Fund IV, LP (“Crown IV LP”), an investment fund managed by Crown in which Crown now holds a 35% interest, deployed $75 million in 2016 through four transactions;
  • Total equity per common share (basic) of $10.67 at December 31, 2016;
  • Total assets of $182.4 million at December 31, 2016, up from $130.1 million at December 31, 2015;
  • Cash and cash equivalents of $19.3 million, compared with $43.6 million at December 31, 2015, reflecting new investment activity in 2016; and
  • Dividends paid in 2016 totaled $0.44 per share.

Fourth Quarter 2016 Financial & Operating Highlights

  • Revenue of $5.4 million (2015 – $5.8 million), including interest revenue of $3.6 million, fees and other income of $2.2 million, and net change in unrealized gains in fair value of investments of ($0.4) million;
  • Net income, net of non-controlling interests, of $0.9 million (2015 – $1.7 million), or $0.09 per common share (basic) (2015 – $0.18);
  • Adjusted EBIT1 of $1.8 million (2015 – $3.0 million);
  • On December 2, 2016, paid a quarterly dividend of $0.11 per common share;
  • On December 30, 2016, completed a $35.0 million senior secured revolving credit facility with Alberta Treasury Branches and Business Development Bank of Canada to fund investments in mid-market companies; and
  • Crown IV LP deployed $60 million in Q4 2016 through three transactions:
    • $15 million term loan to Touchstone Exploration (TSX:TXP);
    • $30 million term loan to Medicure Inc. (TSXV:MPH); and
    • $15 million investment senior secured first lien notes from Source Energy Services.

Mr. Overvelde has more than 25 years of experience in capital markets and accounting.

Mr. Overvelde was most recently Vice President, Equity Research Analyst at Raymond James covering the Canadian Diversified Financials sector. His equity research experience also includes roles at TD Securities and UBS Securities Canada, covering companies in banking, insurance, and industrials. Mr. Overvelde previously spent approximately 10 years in senior institutional equity sales positions at National Bank Financial and UBS Securities Canada. Prior to entering the capital markets, he spent more than five years at Ernst & Young as Audit Manager working mainly on the financial services and diversified industries teams. Mr. Overvelde obtained his Bachelor of Commerce degree before becoming a Chartered Professional Accountant. He also earned his Chartered Financial Analyst designation.

CALGARY, March 1, 2017 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced that, effective Friday, March 3, 2017, its trading symbol on the Toronto Stock Exchange will change from “CRN” to “CRWN”. No action is required to be taken by current shareholders in connection with the change, and no change has been made to Crown’s share capital.

Crown Capital Announces Repayment of Loan by Corrosion Service Company Limited

CALGARY, February 28, 2017 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced the repayment by Corrosion Service Company Limited (“Corrosion”) of a special situations loan managed by Crown.

Established in 1950, Corrosion is the second-largest corrosion engineering firm in Canada focused mainly on corrosion mitigation for the midstream energy industry. Crown arranged a $4.0 million, five-year loan to Corrosion in April 2015 to support a management buyout. Corrosion has prepaid this loan in full, including principal, interest and fees.

“Corrosion has been an ideal client and performed well over the term of the relationship,” said Chris Johnson, President and CEO of Crown. “We were proud to be part of this chapter for Corrosion and wish them continued success.”

“Crown was an excellent capital provider for Corrosion,” said Dean Rookes, President of Corrosion. “They really understood our company and its specific requirements and were supportive partners in our business, allowing us to execute on our plans without diluting capital.”

The Corrosion loan was held by special situations funds managed by Crown in which Crown holds an ownership interest of approximately 54%. Crown has no further participation in Corrosion and the realized IRR on the loan was approximately 25%.

Crown Capital Increases Quarterly Dividend to $0.12 Per Share

CALGARY, February 2, 2017 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced that its Board of Directors has declared a dividend of $0.12 per common share, payable on March 2, 2017 to all shareholders of record as of the close of business on February 14, 2017. This dividend represents a 9% increase over Crown’s previous quarterly dividend of $0.11 per share.

“The increased dividend reflects our success in building the portfolio over the past several quarters,” said Chris Johnson, President and CEO of Crown. “As we continue to execute on our growth plan, we expect to generate increasing earnings and cash flow and plan further dividend increases as the business develops.”

This dividend is designated by the Company to be an “eligible dividend” pursuant to subsection 89(14) of the Income Tax Act (Canada) and any applicable provincial or territorial legislation pertaining to eligible dividends. Crown Capital Partners Announces $50 Million Upsizing of Crown Capital Fund IV, LP

CALGARY, January 18, 2017 – Crown Capital Partners Inc. (“Crown” or “the Corporation”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced it has completed a $50 million closing for Crown Capital Fund IV, LP. (“Crown IV LP” or the “Fund”), bringing the current total capital committed to the Fund to $175 million. To date, $110 million has been invested by the Fund in six transactions.

“This upsizing deepens our relationships with our institutional limited partners and is a clear testament to the quality of our growing portfolio,” said Chris Johnson, Crown’s President & CEO. “We continue to deliver on our key milestones. We have completed three transactions since November 2016, adding $60 million of new investments into Crown IV LP. With this additional capital and our recently-completed $35 million credit facility, we have significantly increased Crown’s funding capacity, which we will use to capitalize on the demand for customized financing solutions in Canada’s middle market.”

Crown IV LP invests in Special Situations Financing transactions originated and managed by Crown. These consist of senior and subordinated loans with terms ranging from six months to five years, and are structured to limit ownership dilution and provide the borrower client with the ability to focus on growing their business. Crown IV LP has a maximum size of $300 million, with additional closings expected up until September 2018 as financing opportunities are identified. Crown, through its wholly-owned subsidiary Crown Capital Funding Corporation, increased its capital commitment to the Fund by $11.25 million to $61.25 million.  Crown’s increased commitment to CCF IV LP will be funded, in part, by its recently-completed $35 million credit facility.  After this closing, Crown holds a 35% interest in the Fund.

Crown Capital Announces $35.0 Million Credit Facility to Support Continued Growth

CALGARY, December 30, 2016 – Crown Capital Partners Inc. (“Crown”) (TSX: CRN), which provides growth capital to successful mid-market companies, today announced that it has entered an agreement for a $35.0 million senior secured revolving credit facility (“Credit Facility”) with Alberta Treasury Branches (“ATB”) and Business Development Bank of Canada (“BDC”). Crown will use the Credit Facility to fund investments in mid-market companies.

“This new facility diversifies our sources of funding and increases our capacity to continue to build the portfolio while also enhancing returns for Crown’s shareholders,” said Chris Johnson, Crown’s President & CEO. “We value the support of ATB and BDC and look forward to working with them as we execute on our business plan. We continue to see strong demand for our financing solutions.”

The Credit Facility provides financing at a variable interest rate based on the Bankers Acceptance rate plus 375bps to 425bps and has a customary set of covenants. The Credit Facility matures in three years and is subject to extension annually.
