Crown Capital Partners Announces Financial Results for Q3 2018

CALGARY, November 7, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced its financial results for the third quarter ended September 30, 2018. Crown’s complete financial statements and management’s discussion and analysis for the three- and nine-month periods ended September 30, 2018 are available on SEDAR at www.sedar.com.

Q3 2018 Financial & Operating Highlights

  • Total revenue of $7.9 million (2017 – $5.6 million), including interest revenue of $7.2 million (2017 – $4.8 million), fees and other income of $0.2 million (2017 – $0.1 million), and a net gain on investments of $0.5 million (2017 – net gain of $0.6 million).
  • A 62% year-over-year increase in net income, net of non-controlling interests, of $1.8 million (2017 – $1.1 million), or $0.19 per common share (basic) (2017 – $0.12).
  • Adjusted Funds from Operations1 of $3.1 million, compared with $1.6 million in Q3 2017.
  • Total assets of $288.2 million at quarter end, up from $229.1 million at December 31, 2017.
  • Total equity per common share (basic) of $10.79 at September 30, 2018 compared with $10.98 at December 31, 2017.
  • On August 31, 2018, paid a quarterly dividend of $0.15 per common share.
  • Crown Capital Partner Funding, LP (“Crown Partners Fund”) completed a $15 million term loan to Triple Five Intercontinental Group Ltd. and exited Q3 2018 with a record level of contributed capital at $221.8 million compared with $167.4 million as at September 30, 2017.
  • Completed a $75 million upsizing of Crown Partners Fund. Concurrently, the investment period was extended to the end of 2019 and the maximum size of the fund was increased to $500 million, from $300 million previously.
  • Transition restricted share units issued in connection with the initial public offering of the Corporation in July 2015 vested on July 9, 2018, contributing to a 1.7% increase in common shares outstanding as at September 30, 2018 compared with June 30, 2018 and, in turn, to a (2.2)% decrease in book value per share over the same period.

“Crown has had a highly active and productive year to date, deploying $105 million in six transactions, which lifted our fee-generating assets to [our highest levels ever] at quarter end and drove a 49% year-over-year increase in interest revenue,” said Chris Johnson, President and CEO of Crown. “In addition to the $75 million upsizing of Crown Partners Fund, we made important changes that provide additional flexibility to expand this fund up to $500 million and capitalize on demand from mid-market companies for our customized financing solutions.”

Crown Capital Announces Quarterly Dividend of $0.15 Per Share

CALGARY, November 6, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced that its Board of Directors has declared a dividend of $0.15 per common share, payable on November 30, 2018 to all shareholders of record as of the close of business on November 16, 2018.

This dividend is designated by the Company to be an “eligible dividend” pursuant to subsection 89(14) of the Income Tax Act (Canada) and any applicable provincial or territorial legislation pertaining to eligible dividends. Crown Capital Partners Completes $15 Million Term Loan with Triple Five Intercontinental Group Ltd.

CALGARY, September 4, 2018 – Crown Capital Partners Inc. (“Crown”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the closing of a $15 million term loan (the “Agreement”) to Triple Five Intercontinental Group Ltd. (“Triple Five”), a privately held, Calgary-based company engaged in the exploration, development and production of petroleum and natural gas.

Founded in 2014, Triple Five’s assets are located in west central Alberta, where the company has a 100% working interest in 20 contiguous sections of land (approximately 12,800 net acres) in the Spirit River zone. Triple Five is currently producing approximately 3,800 barrels of oil equivalent production per day from six wells, of which approximately 85% is natural gas and 15% is natural gas liquids. Crown’s funds will be used to refinance Triple Five’s senior debt facility and provide capital to drill additional wells, which are expected to materially increase the company’s production.

“Triple Five has accumulated a highly attractive portfolio of assets in a proven and prolific natural gas region,” said Chris Johnson, Crown’s President & CEO. “The company has established a solid track record of low-cost production, which has resulted in significant cash flow even in a challenging pricing environment. With additional wells coming on stream, the business is positioned to deliver material increases in production and profitability going forward. We look forward to working with the Triple Five team to support their expansion.”

“With a strong background in our industry, Crown was able to provide a customized, non-dilutive lending solution in a timely manner that will enable us to implement our near-term plans to increase production,” said Ryan Martin, President of Triple Five.

The Agreement provides for a $15 million first-lien term loan to Triple Five by Crown Capital Partner Funding, LP (“Crown Partners Fund”), an investment fund managed by Crown and in which Crown holds a 37.1% interest. The term loan bears a fixed interest rate of 10.5% per annum, matures in 36 months, and includes a royalty to Crown Partners Fund based on Triple Five’s gross sales.

Crown Capital Partners Completes $75 Million Upsizing of Special Situations Fund and Extends Investment Period

CALGARY, July 16, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced that it has completed a $75 million upsizing of Crown Capital Partner Funding LP (“CCPF LP” or the “Fund”), which was previously named Crown Capital Fund IV, LP, bringing the current total committed capital to $300 million. Crown also announced that the investment period of the Fund was extended to the end of 2019, with provisions to further extend the investment period with the approval of limited partners, and also increased the maximum size of the Fund to $500 million, from $300 million previously.

“These are highly important capital development milestones for Crown that reflect our success in finding quality investments for the Fund and generating strong returns, as well as the positive outlook for new transactions,” said Chris Johnson, Crown’s President & CEO. “We are very pleased with the continued strong support of our institutional limited partners and are encouraged by the growing demand from new investors.”

The Fund invests in Special Situations Financing transactions originated and managed by Crown. These consist of senior and subordinated loans with terms ranging from six months to five years, and are structured to limit ownership dilution and provide the borrower client with the ability to focus on growing their business. Crown, through its wholly-owned subsidiary Crown Capital Funding Corporation, increased its capital commitment to the Fund by approximately $29.1 million to $111.3 million. After this closing, Crown holds an approximate 37.1% interest in the Fund. CCPF LP currently has approximately $206.8 million invested in 13 companies.

Crown Capital Partners Launches Crown Capital Power LP

New fund will capitalize on demand for lower-cost, reliable electricity supply
Provides significant new market and growth opportunity for Crown  

CALGARY, June 28, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the launch of Crown Capital Power LP (“Crown Power” or “the Fund”), a new fund managed by Crown that intends to provide investors with attractive, utility-like income through the direct ownership of Integrated Energy Platforms (“IEPs”) that provide electricity under long-term contracts to mid to large-scale electricity users, such as manufacturers, hotels, and condominiums. IEPs are on-site generators that provide more reliable and less expensive electricity than comparable service from a public utility.

“Over the past 10 years, commercial electricity users, especially in Ontario, have experienced substantial price increases and prices are expected to continue rising,” said Chris Johnson, President and CEO of Crown. “Because electricity is vital to businesses, and the rate increases have become so significant, there is growing demand for ‘private utility’ solutions. From an investment perspective, we see a tremendous opportunity to build a portfolio of long-term contracts with profitable, well-established businesses that will deliver investors attractive utility-like monthly recurring cash flows.”

The Fund’s primary initial target market will be Ontario, where electricity prices have nearly doubled over the past 10 years, far outpacing electricity price growth in North America. Over time, the Fund expects to target numerous other regions in North America that are experiencing similarly high electricity prices.

Crown Power will partner with experienced operators to manage the sales, installation and servicing of the IEPs. The Fund’s first operating partner is OOM Energy Group (“OOM”), a private electricity generation company that offers clients an alternative to the public utility grid. OOM provides its clients with reliable, uninterrupted power, essentially replacing the utility and removing the burden of managing energy supply, while providing significant savings. OOM and its principals have built, operated and maintained over 40 IEPs for industrial, commercial and institutional operations, ranging in size from 50 kWs to 40 MWs.

Mr. Johnson added: “As early entrants to this private utility market, the team at OOM has established a solid reputation and significant expertise in the deployment of IEPs, validating their ability to meet commercial customers’ energy needs with no downtime, while delivering material savings. We’re delighted to partner with OOM as they execute on signed contracts and continue to build a significant pipeline of new projects.”

Crown is initially committing $15.0 million of capital to Crown Power, which will be used to finance the near-term deployment of eight IEPs. Crown expects to utilize its hybrid business model to raise additional capital for Crown Power as needed.

Crown Capital Announces Repayment of Petrowest Loan

CALGARY, June 20, 2018 – Crown Capital Partners Inc. (“Crown” or the “Corporation”) (TSX: CRWN), which provides growth capital to successful mid-market companies, today announced the full repayment by Petrowest Corporation (“Petrowest”) of a special situations loan made by Crown Capital Fund IV, LP (“CCF IV”), an investment fund managed by Crown and in which Crown holds a 36.5% interest.

CCF IV advanced $15 million to Petrowest in September 2015. As part of a financial restructuring, CCF IV and a syndicate partner advanced an additional $12 million to Petrowest in May 2017.  Petrowest was placed into receivership by its creditors in August 2017 and all of Petrowest’s assets were offered for sale.

In November 2017, as consideration for the acquisition of the assets of the Civil division from Petrowest, approximately $19.6 million of the loan was assumed by RBee Aggregate Consulting Ltd. (“RBee”). RBee, which has one of the largest mobile crushing fleets in Western Canada, is now 50% owned by the management of RBee and 50% owned by CCF IV and its syndicate partner.

As at March 31, 2018, the total amount owing by Petrowest to CCF IV and its syndicate partner included $7.4 million of loan principal as well as accrued interest and fees. Subsequent to quarter end, approximately $0.8 million of loan principal was reallocated from the RBee loan to the Petrowest loan due to final adjustments to the purchase price of the RBee assets, resulting in an outstanding principal amount owing by Petrowest to CCF IV and its syndicate partner of $8.2 million.

Since March 31, 2018, CCF IV and its syndicate partner have received aggregate payments in respect of the Petrowest loan of $9.7 million representing full repayment of the principal amount owing, as well as all accrued interest and supplemental fees.

The realized Gross IRR on CCF IV’s aggregate investment in Petrowest was 18.2%.

CROWN CAPITAL PARTNERS INC. ANNOUNCES CLOSING OF $20 MILLION CONVERTIBLE DEBENTURE BOUGHT DEAL OFFERING

Calgary, Alberta – (June 13, 2018) — Crown Capital Partners Inc. (“Crown” or the “Company”) (TSX: CRWN) announced today that it has closed its previously announced “bought deal” public offering of $20 million aggregate principal amount of 6.00% convertible unsecured subordinated debentures (the “Debentures”) due June 30, 2023 (the “Offering”). The Debentures will trade on the Toronto Stock Exchange under the symbol “CRWN.DB”.

The Offering was co-led by BMO Capital Markets and National Bank Financial Inc. and included AltaCorp Capital Inc., CIBC World Markets Inc., Cormark Securities Inc., GMP Securities L.P., Raymond James Ltd. and TD Securities Inc.

The net proceeds of the Offering will be used to repay indebtedness under the Company’s credit facility, which will then be available to be drawn, as required, to fund new financing transactions by the Company.
